1. Acceptance of terms

By accessing, browsing or otherwise using this website ("Site") and any related digital services operated by Apex Euro Capital SA ("Apex", "we", "us"), you agree to be bound by these Terms & Conditions ("Terms"), our Privacy Policy and any product-specific terms presented to you. If you do not agree, you must not use the Site.

Apex Euro Capital SA is a Belgian société anonyme with registered office at Avenue Louise 480, 1050 Brussels, Belgium, and additional offices in Athens, Greece.

3. Eligibility

The Site is intended for users aged 18 or over with the legal capacity to enter into binding contracts. Certain content and services are restricted to Professional Clients and Eligible Counterparties under MiFID II or equivalent classifications.

• Access to authenticated portals strictly in accordance with the credentials issued to you.

6. Prohibited conduct

• Reverse-engineering, scraping, mass-downloading or unauthorised automation.
• Uploading malware, exploiting vulnerabilities or interfering with Site availability.
• Submitting false, misleading, fraudulent or stolen information.
• Using the Site to launder funds, evade sanctions or commit any criminal offence.
• Infringing intellectual-property or third-party rights.

7. Account security

You are responsible for safeguarding any credentials issued to you, for enabling multi-factor authentication where offered, and for all activity occurring under your account. Notify us immediately at security@apexeurocapital.com of any suspected compromise.

8. Accuracy of submitted information

Applicants warrant that information submitted via the Site is true, accurate, current and complete. Apex may verify information through third-party providers and may reject applications or terminate services where information is materially inaccurate.

9. Intellectual property

All trademarks, logos, content, software, layouts, designs and materials on the Site are owned by or licensed to Apex and are protected by Belgian, EU and international intellectual-property laws. No licence is granted except as expressly stated. The "Apex" word mark and logo are protected trademarks.

10. Third-party links

The Site may link to third-party websites for convenience. Apex does not control, endorse or assume responsibility for the content, policies or practices of such sites.

11. Availability and changes

The Site is provided on an "as is" and "as available" basis. We may modify, suspend or discontinue all or part of the Site at any time without notice and without liability.

To the maximum extent permitted by law, Apex disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, accuracy and non-infringement.

13. Limitation of liability

To the maximum extent permitted by applicable law, Apex, its affiliates, directors, officers, employees and agents shall not be liable for any indirect, incidental, special, consequential or punitive damages, including loss of profits, loss of data or business interruption, arising from or in connection with your use of the Site. Nothing in these Terms excludes liability that cannot be excluded under Belgian law (including liability for fraud or for gross negligence).

14. Indemnity

You agree to indemnify and hold Apex harmless from any claims, losses, damages and expenses (including reasonable legal fees) arising from your breach of these Terms or misuse of the Site.

15. Compliance with laws and sanctions

You confirm that you are not subject to EU, UN, OFAC, HMT or other applicable sanctions and that you will use the Site only in compliance with all applicable laws and regulations, including AML, sanctions and export-control regimes.

16. Force majeure

Apex shall not be liable for any failure or delay caused by events beyond its reasonable control, including acts of God, war, terrorism, pandemic, governmental action, labour disputes, internet failure or cyber-attack.

17. Severability and waiver

If any provision of these Terms is held invalid or unenforceable, the remaining provisions shall continue in full force. Failure to enforce any right shall not constitute a waiver.

18. Governing law and jurisdiction

These Terms are governed by the laws of Belgium, excluding conflict-of-law principles. The courts of Brussels (French-speaking division) have exclusive jurisdiction over any dispute, subject to mandatory consumer-protection rules where applicable.

19. Changes to these Terms

We may update these Terms from time to time. The version in force is the one published on the Site at the time of your use, with the "last updated" date shown above.
