1. General disclaimer

The information on this website and in Apex materials is provided for general information only. It does not constitute an offer or solicitation to lend, borrow, invest or subscribe for any financial instrument, nor financial, legal, tax or investment advice. Indicative terms, pricing, returns and timelines are illustrative, non-binding and subject to credit, compliance and committee approval.

2. Suitability and professional clients

Many Apex opportunities are reserved for Professional Clients and Eligible Counterparties under MiFID II, qualified investors under the Prospectus Regulation, or equivalent classifications in other jurisdictions. Retail investor access is restricted.

3. Credit and counterparty risk

  • Funding facilities are subject to underwriting, covenants, security packages and personal or corporate guarantees.
  • Default may trigger enforcement, including the realisation of security and reporting to credit bureaus.
  • Interest rates may be fixed or floating; floating-rate facilities expose borrowers to interest-rate volatility.

4. Investment risk

  • The value of investments can rise and fall; past performance is not indicative of future results.
  • Private market investments (private equity, private credit, infrastructure, real estate) are typically illiquid, long-dated (5 to 12 years) and may result in partial or total loss of capital.
  • Capital calls, dilution, distribution timing and J-curve effects materially affect realised returns.
  • Valuations of unlisted assets are inherently subjective and may differ from realisable value.

5. Market and macroeconomic risk

Returns and credit performance are influenced by interest rates, inflation, currency movements, monetary and fiscal policy, geopolitical events, and sector-specific cycles. Sudden market dislocations may impair liquidity and valuations.

6. Currency and cross-border risk

Where transactions are denominated in a currency other than your reference currency, foreign-exchange fluctuations may amplify gains or losses. Cross-border transactions may also be affected by capital controls, withholding taxes and changes in local law.

7. Liquidity risk

Many products arranged by Apex are illiquid. There may be no secondary market, and exit may only be possible at a discount, at a specified liquidity window, or upon maturity/realisation.

8. Concentration risk

Allocations to single managers, sectors, geographies or strategies may produce returns materially different from broader market benchmarks. Diversification is recommended but does not eliminate the risk of loss.

9. Digital asset risk

  • Crypto-assets are subject to substantial price volatility, regulatory change (including MiCA), and operational risk.
  • Custody risks include private-key compromise, hot/cold wallet vulnerabilities and counterparty failure of custodians.
  • Smart-contract risk, oracle failure and protocol exploits may cause irrecoverable losses.
  • Stablecoins may de-peg; tokenised securities are subject to the legal regime of the issuance jurisdiction.

10. ESG and sustainability risk

Sustainability-related risks (transition, physical, regulatory, reputational) may materially affect the credit and investment performance of an asset. Sustainability classifications under SFDR Articles 6, 8 and 9 are not guarantees of impact or returns.

11. Operational, legal and regulatory risk

Operational events (cyber-attacks, fraud, vendor failure), litigation, regulatory action, tax reassessments, and changes in law may adversely affect transactions and outcomes.

12. Conflicts of interest

Apex maintains a Conflicts of Interest Policy and discloses material conflicts where they cannot be reasonably avoided. A copy is available on request from compliance@apexeurocapital.com.

13. No reliance
